Working with Michael and his team was a pleasure. Michael walked us thru each step. When we hit a small snag here or there he was willing to roll up his sleeves and get in the middle of it to make sure our needs were met. The whole process was fast but not rushed. He heard our hearts and helped us find the buyer that would take our business and care for it like their own. Watching the new owner care for the business our dad started has been a blessing. We could not have been more satisfied with this whole process. Michael Rubin knows what he is doing when it comes to selling your business and walking you thru that process.

Michael Rubin helped me successfully sell my family-owned independent insurance agency (started in 1895), guiding me through a very difficult process while helping me get top dollar for myself and my siblings. I cannot thank him enough for being there for me and for my family. His focus and attention to the things that mattered most were why it all worked out for the best! Thank you MDR & Associates!

How it works

What happens after you reach out

  1. Discovery meeting and opinion of value A complimentary one-hour meeting at the Frisco office to learn the owner's goals, review three years of financials and give a free opinion of value. MDR only engages when it is confident it can sell the company for maximum value.
  2. Engagement and marketing package An exclusive listing agreement is signed, then the team builds a confidential business profile, financial summary and HD video, offering the company to its buyer network first and running blind ads only if needed.
  3. Buyer screening Prospective buyers sign a confidentiality agreement and a buyer profile confirming financial qualification before receiving sensitive information.
  4. Multiple offers, reviewed in person A principal negotiates with several buyers toward letters of intent and presents every offer to the owner in person. The owner may accept, reject or counter.
  5. Due diligence, documents and closing Due diligence runs about 30 to 90 days, M&A attorneys draft the closing documents, and the closing is usually held at MDR's office with proceeds wired the same day.

In Michael's words

Situations Michael handles every week

You have no idea what the business is really worth

Owners often carry a number in their head that is either too hopeful or too low. Michael's team reviews the last three years of financials in a complimentary discovery meeting and gives a free opinion of value, low to high, before anyone signs anything.

Employees, customers and vendors cannot find out

A sale that leaks can unsettle staff and competitors. MDR markets the company blind. Buyers register, sign a confidentiality agreement and complete a financial profile before they see the detailed package, and more than half of listings go under contract before they are ever posted online.

An unsolicited offer landed and you do not know if it is fair

One buyer means one price. MDR takes the company to private equity groups, capital groups and individual investors across the country with the aim of producing multiple letters of intent, then presents every offer in person.

Retirement is one to five years out and nothing is prepared

Pre-exit consulting cleans up financials and positions the company before it goes to market. MDR's view is that the best time to sell is after two to three years of consistent growth, not once revenue starts to slide.

Running the company and running a sale at the same time

Owners who sell on their own tend to lose focus on operations and sell for less. A VP of Client Engagement handles the marketing, and a partner steps in for negotiation and sees the deal through closing, so the owner can keep running the business.

FAQ

Questions people ask Michael

What does it cost to find out what my business is worth?

Nothing. MDR starts with a complimentary one-hour discovery meeting and a free opinion of value based on the last three years of financials. A formal third-party valuation is a separate service for owners who need a documented appraisal.

How does the firm get paid?

With an industry-standard success fee, paid only when the company sells. If no transaction closes, the client owes nothing.

How long does a sale take?

The firm's average is three to six months from listing to closing. It has closed one sale in eight days and another took 18 months; profitability, how niche the business is and how long it has operated all affect the timeline.

How is confidentiality protected?

Buyers must register, sign a confidentiality agreement and complete a financial profile before receiving the detailed package. The company is offered to MDR's buyer network first, and any public ads are blind.

What size and type of company does MDR take on?

Companies with roughly $3 million to $100 million in revenue, most often in manufacturing, distribution, service and construction. The firm looks for profitable, trackable, bankable businesses with a motivated owner who can stay two to three years after the sale.
